1. Acceptance of Terms
By accessing, browsing, or using the James Analytics platform, website, APIs, or any related services (collectively, the “Service”), you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must immediately discontinue use of the Service. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those modifications.
2. Description of Service
James Analytics is an AI-powered financial planning and analysis (FP&A) platform designed for small and medium-sized businesses. The Service includes, but is not limited to: financial statement generation, data visualization and dashboards, AI-powered insights and analysis, forecasting and scenario modeling, budgeting and variance analysis, report generation, file upload and data processing, accounting software integrations, and related tools and features.
The Service is provided on an “as is” and “as available” basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and update your information to keep it accurate and current; (c) maintain the security and confidentiality of your login credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account.
We strongly recommend enabling two-factor authentication (2FA) on your account. You are solely responsible for any activity conducted through your account, whether or not authorized by you. James Analytics will not be liable for any loss or damage arising from your failure to maintain adequate account security.
4. Subscription, Billing, and Cancellation
The Service offers a free tier with limited features and paid subscription plans with additional capabilities. By selecting a paid plan, you agree to pay the applicable subscription fees as described at the time of purchase.
Billing. Paid subscriptions are billed monthly in advance. All fees are non-refundable except as expressly stated herein or required by applicable law. Payment is processed securely through Stripe, Inc. You authorize us to charge your designated payment method on a recurring basis.
Failed payments. If a payment fails, we will notify you and may retry the charge. If payment is not resolved, your account may be downgraded to the free tier, and you will lose access to paid features including integrations, AI insights, forecasting, and scenario planning.
Cancellation. You may cancel your subscription at any time through your account settings or the Stripe billing portal. Upon cancellation, you will retain access to paid features through the end of your current billing period. After that, your account will be downgraded to the free tier.
Price changes. We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price increase. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit viruses, malware, or other malicious code
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
- Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent
- Resell, sublicense, or redistribute the Service or any part thereof
- Use the Service to store or transmit content that infringes any third-party intellectual property rights
- Circumvent or disable any security features or access controls of the Service
- Exceed applicable rate limits or usage quotas, or attempt to do so
We reserve the right to suspend or terminate your account immediately if we reasonably believe you are violating these acceptable use provisions.
6. Your Data
Ownership. You retain all ownership rights to the data you upload, input, or generate through the Service (“Your Data”). We do not claim ownership of Your Data.
License grant. By uploading Your Data, you grant James Analytics a limited, non-exclusive, worldwide license to use, process, store, and display Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.
Responsibility. You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. You represent that you have all necessary rights and permissions to upload and process Your Data through the Service.
Data portability. You may export Your Data at any time using the export features available in the Service (CSV, Excel, PDF, or PowerPoint formats).
7. AI-Generated Content and Disclaimer
The Service uses artificial intelligence, including large language models, to generate financial insights, analysis, forecasts, and recommendations (“AI Output”). You acknowledge and agree that:
- AI Output is provided for informational and analytical purposes only and does not constitute professional financial, tax, legal, or investment advice
- AI Output may contain errors, inaccuracies, or omissions and should be independently verified
- You are solely responsible for any decisions made based on AI Output
- James Analytics makes no warranty as to the accuracy, completeness, reliability, or suitability of any AI Output
- You should consult with qualified financial, tax, and legal professionals before making material business decisions
- AI Output should be used as one input among many in your decision-making process, not as the sole basis for action
James Analytics shall not be liable for any losses, damages, or adverse outcomes resulting from reliance on AI Output. Your financial data is not used to train AI models.
8. Security
We implement security practices aligned with the SOC 2 Trust Services Criteria framework to protect the confidentiality, integrity, and availability of your data. Our security measures include, but are not limited to:
- Encryption of data at rest (AES-256) and in transit (TLS 1.3)
- Role-based access controls and session management
- Rate limiting and brute-force protection on authentication endpoints
- Structured audit logging for security-relevant events
- Regular internal security audits and vulnerability assessments
- Server-side token revocation and secure session management
- Third-party payment processing through PCI-DSS compliant providers (Stripe)
While we take commercially reasonable measures to protect your data, no system is completely secure. You acknowledge that you provide your data at your own risk.
9. Third-Party Integrations
The Service may integrate with third-party services including QuickBooks, Xero, and other accounting platforms. By enabling integrations, you authorize James Analytics to access and retrieve data from those services on your behalf. You are responsible for ensuring you have the necessary permissions to share data from third-party services with us.
We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party integrations is subject to the terms and privacy policies of those respective providers.
10. Intellectual Property
The Service, including its original content, features, functionality, design, code, documentation, trademarks, and branding, are and shall remain the exclusive property of James Analytics LLC and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JAMES ANALYTICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Service
- Any AI-generated content, analysis, or recommendations provided by the Service
- Any unauthorized access to or alteration of your data or transmissions
- Any errors, inaccuracies, or omissions in the Service or its content
- Any third-party conduct or content on or through the Service
- Any loss or damage resulting from integration with third-party services
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED ANALYSIS AND FINANCIAL PROJECTIONS.
13. Indemnification
You agree to defend, indemnify, and hold harmless James Analytics and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights; or (e) Your Data.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account and data after a reasonable retention period (typically 30 days); (c) any outstanding fees become immediately due; and (d) provisions of these Terms that by their nature should survive termination shall survive (including Sections 6, 7, 10, 11, 12, 13, 15, and 16).
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
16. General Provisions
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and James Analytics regarding the Service.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Modifications. We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance.
